These Terms & Conditions (“Terms”) constitute a legally binding agreement between you and XR CLOTHING LIMITED, doing business as FlannelGo (“FlannelGo,” “we,” “us,” or “our”), regarding your access to and use of https://www.flannelgo.com (the “Site”), including any purchases made through the Site and any related services provided by us (collectively, the “Services”).

Please read these Terms carefully before using our Site or placing an order.

By accessing or using the Site, creating an account, or placing an order, you agree to be bound by these Terms and our Privacy & Cookie Policy and other policies referenced in these Terms.

If you do not agree with these Terms, please do not use the Services.

We may suspend or terminate accounts that are used fraudulently, unlawfully, or in violation of these Terms.

4. PRODUCT INFORMATION

We make reasonable efforts to ensure that product descriptions, photographs, measurements, specifications, colors, prices, and other information displayed on the Site are accurate.

However, minor variations may occur.

4.1 Colors

Actual product colors may vary slightly from those displayed on your screen due to differences in monitors, mobile devices, lighting, photography, fabric batches, dye lots, and other factors.

4.2 Measurements and Sizing

Measurements shown on the Site are provided as a general guide. Minor measurement differences may occur due to manufacturing methods, materials, washing, and manual measurement.

Customers are responsible for reviewing the applicable size chart before placing an order.

4.3 Product Availability

All products are subject to availability.

Adding an item to your shopping cart does not reserve the item.

We may limit quantities, discontinue products, or change product availability at any time.

5. ORDERS

5.1 Placing an Order

When you place an order, you are offering to purchase the selected products subject to these Terms.

After your order is submitted, you may receive an automated order confirmation. This confirmation acknowledges that we have received your order but does not necessarily mean that the order has been accepted.

We reserve the right to refuse or cancel an order where reasonably necessary, including in cases involving:

  • suspected fraud;

  • unauthorized payment;

  • pricing or product information errors;

  • unavailable inventory;

  • shipping restrictions;

  • suspected resale or misuse where prohibited; or

  • violations of these Terms.

If we cancel an order after payment has been collected, we will issue an appropriate refund to the original payment method.

5.2 Order Changes and Cancellations

If you need to change or cancel an order, please contact us as soon as possible.

We cannot guarantee that changes or cancellations can be made after an order has entered processing, production, or shipment.

Custom, personalized, made-to-order, and wholesale orders may be subject to separate cancellation terms communicated before or at the time of purchase.

6. PRICING, TAXES, AND PAYMENT

6.1 Pricing

Prices displayed on the Site are shown in the currency indicated at checkout.

Prices may change at any time. Changes will not affect orders that have already been accepted, except where an obvious pricing error has occurred.

Promotional pricing, discount codes, and special offers may be subject to additional conditions and expiration dates.

6.2 Pricing Errors

Despite our reasonable efforts, pricing or product information errors may occasionally occur.

If an obvious error affects your order, we may contact you to confirm whether you wish to proceed at the correct price or cancel the affected item or order.

If payment has already been collected and the order is canceled, the applicable amount will be refunded.

7.4 Incorrect Shipping Information

You are responsible for providing a complete and accurate shipping address.

We are not responsible for delays or failed deliveries caused by incorrect or incomplete information provided by the customer, although we will make reasonable efforts to assist where possible.

Additional shipping costs resulting from an incorrect address, refused delivery, or unsuccessful delivery may be charged where permitted by law.

8. INTERNATIONAL ORDERS, CUSTOMS, AND DUTIES

For international orders, customs authorities may require additional information from the recipient.

You are responsible for providing accurate information necessary for customs clearance.

Unless otherwise stated at checkout, you may be responsible for import duties, customs charges, taxes, brokerage fees, or other charges imposed by your country or local authorities.

Where duties and taxes are collected by FlannelGo at checkout, no additional payment should normally be required for those charges, subject to the rules of the destination country.

We are not responsible for customs delays outside our reasonable control.

9. RETURNS, EXCHANGES, AND REFUNDS

Returns, exchanges, and refunds are governed by our Return & Refund Policy, which forms part of these Terms.

Please review the Return & Refund Policy before making a purchase.

Our Return & Refund Policy explains matters including:

  • return eligibility;

  • return periods;

  • exchange procedures;

  • return shipping costs;

  • damaged or defective products;

  • incorrect items;

  • refunds;

  • final-sale items; and

  • products that may not be returned.

Nothing in our Return & Refund Policy or these Terms limits any mandatory consumer rights that cannot legally be excluded or restricted.

10. CUSTOM AND WHOLESALE ORDERS

Custom, private-label, wholesale, bulk, and made-to-order purchases may be subject to additional written terms, quotations, invoices, specifications, minimum order quantities, production timelines, sample approvals, or other requirements agreed between FlannelGo and the customer.

Where separately agreed written terms for a custom or wholesale order conflict with these general Terms, the separately agreed terms will control with respect to that order.

Customized or made-to-order products may not be eligible for return or cancellation once production has begun, except where required by law or where the products are defective or materially inconsistent with the approved specifications.

11. PROMOTIONS AND DISCOUNT CODES

From time to time, we may offer promotions, coupons, discount codes, free shipping offers, gifts, or other promotional benefits.

Promotions may:

  • have expiration dates;

  • apply only to eligible products or customers;

  • require a minimum purchase;

  • exclude certain products;

  • be limited to one use per customer or order; or

  • be subject to additional promotional terms.

Unless expressly stated otherwise, promotional offers may not be combined.

We may cancel or refuse the use of promotional offers where we reasonably believe they have been obtained or used fraudulently or contrary to their stated terms.

12. REVIEWS, PHOTOS, VIDEOS, AND OTHER USER CONTENT

You may have opportunities to submit reviews, comments, photographs, videos, questions, feedback, or other content (“User Content”).

You retain ownership of the User Content you create.

By submitting User Content to FlannelGo or posting it through features specifically provided by us for that purpose, you grant FlannelGo a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, adapt, publish, translate, distribute, display, and communicate that User Content for legitimate business purposes, including operating the Site, customer service, advertising, marketing, social media, and promotional materials.

This license does not transfer ownership of your User Content to FlannelGo.

You represent that:

  • you own the User Content or have permission to submit it;

  • our permitted use of the User Content will not infringe the rights of another person;

  • the User Content is not unlawful, misleading, defamatory, obscene, or harmful; and

  • the User Content does not contain malware or malicious code.

We may remove User Content where reasonably necessary, including content that violates these Terms or applicable law.

13. INTELLECTUAL PROPERTY

The Site and its content, including text, graphics, photographs, videos, designs, logos, icons, product presentation, software, website layout, and other materials, are owned by or licensed to XR CLOTHING LIMITED or its licensors and are protected by applicable intellectual property laws.

The FlannelGo name, branding, logos, and related marks are owned by or used under the authority of XR CLOTHING LIMITED.

You may access the Site for personal, non-commercial use.

Unless permitted by law or authorized by us in writing, you may not reproduce, modify, distribute, sell, license, publicly display, commercially exploit, or create derivative works from our protected content.

Nothing in these Terms transfers ownership of our intellectual property to you.

14. THIRD-PARTY SERVICES AND LINKS

The Site may contain links to third-party websites, services, payment providers, social media platforms, or other external resources.

Third-party services are operated independently from FlannelGo.

We are not responsible for the content, availability, security, terms, privacy practices, or activities of third-party websites or services.

Your use of third-party services is subject to their own terms and policies.

15. PRIVACY

Your privacy is important to us.

Our collection, use, disclosure, and protection of personal information are described in our Privacy & Cookie Policy.

By using the Services, you acknowledge that your personal information will be handled as described in that policy and as permitted by applicable law.

16. EMAIL AND MARKETING COMMUNICATIONS

If you subscribe to marketing emails from FlannelGo, we may send you information about products, promotions, offers, and other marketing content.

You may unsubscribe from marketing emails at any time by using the unsubscribe link included in our marketing messages or by contacting us.

Unsubscribing from marketing communications will not prevent us from sending transactional or service-related messages concerning your orders, account, returns, refunds, or other customer service matters.

17. SMS / TEXT MESSAGE PROGRAM

If FlannelGo offers an SMS or text message program and you choose to enroll, you consent to receive recurring text messages at the mobile number you provide, which may include automated marketing messages where permitted by applicable law.

Consent to receive marketing text messages is not a condition of purchase.

Message and data rates may apply.

You may opt out of marketing text messages at any time by replying STOP to a marketing message or following other opt-out instructions provided in the message.

You are responsible for ensuring that the mobile number you provide belongs to you or that you are authorized to use it.

18. EVENTS OUTSIDE OUR REASONABLE CONTROL

We will not be responsible for delay or failure to perform an obligation where the delay or failure results from circumstances beyond our reasonable control.

  • epidemics or public health emergencies;

  • war, terrorism, or civil unrest;

  • government actions or restrictions;

  • transportation interruptions;

  • labor disputes;

Nothing in this section limits rights that cannot legally be excluded.

19. DISCLAIMERS

Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability that applicable law does not permit us to exclude or limit.

In particular, nothing in these Terms is intended to exclude liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence where such liability cannot legally be excluded.

Your statutory consumer rights remain unaffected.

21. INDEMNIFICATION

To the extent permitted by law, you agree to indemnify and hold XR CLOTHING LIMITED harmless from third-party claims, losses, liabilities, and reasonable expenses arising directly from:

  • your unlawful use of the Services;

  • your material violation of these Terms; or

  • User Content submitted by you that infringes the rights of a third party.

This provision does not apply to the extent that a claim results from our own unlawful conduct, negligence, or breach of these Terms.

22. CONSUMER RIGHTS

Nothing in these Terms is intended to waive, exclude, or restrict any consumer rights that cannot lawfully be waived, excluded, or restricted.

If the laws of your country, state, province, or other jurisdiction provide you with mandatory rights or remedies, those rights and remedies remain available to you notwithstanding anything in these Terms.

Subject to any mandatory rights you may have under the laws of your place of residence, disputes relating to these Terms may be submitted to courts of competent jurisdiction in Hong Kong.

Nothing in this section deprives a consumer of protections or remedies that cannot lawfully be excluded under the mandatory laws applicable to that consumer.

25. SEVERABILITY

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be interpreted or limited to the minimum extent necessary, where legally permitted.

The remaining provisions will continue in full force and effect.

26. NO WAIVER

If we do not immediately enforce a provision of these Terms, that does not constitute a waiver of our right to enforce that provision in the future.

A waiver will be effective only to the extent expressly stated.

27. ASSIGNMENT

You may not transfer your rights or obligations under these Terms without our prior written consent where such consent is legally permitted to be required.

We may transfer or assign our rights or obligations in connection with a merger, acquisition, restructuring, sale of business, or similar transaction, subject to applicable law.

28. ENTIRE AGREEMENT

These Terms, together with our Privacy & Cookie Policy, Return & Refund Policy, Shipping Policy, and any other policies expressly incorporated by reference, constitute the agreement between you and FlannelGo concerning your use of the Services.

For custom, wholesale, or made-to-order transactions, separately agreed quotations, invoices, specifications, or written agreements may supplement these Terms.
